These terms and conditions apply to any donation and the individuals or groups who donate.

Spirit Nation Pictures “Spirit Nation” is a subsidiary of Millbrook Media Ltd. (Business #: 86462).

Spirit Nation offers a range of rewards based on donation levels as found on our website JoeHippMovie.com.

By sending donations you agree to these Terms & Conditions. You also agree that these donations do not include any offer of equity, ownership or shares of any kind in our productions or ventures.

To protect the health and integrity of our company we reserve the right to the following:

We can make changes to the Site and Services without notice and liability.
We have the right to decide who’s eligible to donate and participate in our campaign. We may in limited circumstances impose restrictions or limitations on accounts, or—for particularly significant or repeated violations of our Terms or any other rules on the Site, we may cancel accounts or decline to offer our Rewards.
We can change our eligibility criteria at any time. If these things are prohibited by law where you live, then we revoke your right to use this website in your jurisdiction.
We have the right to cancel any donation to any project, at any time and for any reason.
We have the right to reject, cancel, interrupt, remove, or suspend any user who violates our site policies any time for any reason including but not limited to underage users.

Spirit Nation is not liable for any damages as a result of any of these actions.

Warranty Disclaimer - You use our Services solely at your own risk. They are provided to you “as is” and “as available” and without warranty of any kind, express or implied.

Spirit Nation specifically disclaims any and all warranties and conditions of merchantability, non-infringement, and fitness for a particular purpose, and any warranties implied by any course of dealing, course of performance, or usage of trade. no advice or information (oral or written) obtained by you from Spirit Nation shall create any warranty.

Indemnification - Users and donators agree to defend, indemnify, and hold Spirit Nation harmless from all liabilities, claims, and expenses (including reasonable attorneys’ fees and other legal costs) that arise from or relate to your use or misuse of our website. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to this indemnification clause, in which case you agree that you’ll cooperate and help us in asserting any defenses.

Limitation of Liability - To the fullest extent permitted by law, in no event will Spirit Nation, its directors, employees, partners, suppliers, or content providers be liable for any indirect, incidental, punitive, consequential, special, or exemplary damages of any kind, including but not limited to damages (i) resulting from your access to, use of, or inability to access or use the Services; (ii) for any lost income, data loss, or cost of procurement or substitute goods or services; or (iii) for any conduct of content of any third party on the Site. In no event shall Spirit Nation’s liability for direct damages be in excess of (in the aggregate) ten U.S. dollars ($10.00).

Dispute Resolution and Governing Law - These Terms and the other material referenced in them are the entire agreement between you and Spirit Nation with respect to the Services offered herein. They supersede all other communications and proposals (whether oral, written, or electronic) between you and Spirit Nation with respect to the Services and govern our future relationship. If any provision of these Terms is found to be invalid under the law, that provision will be limited or eliminated to the minimum extent necessary so that the Terms otherwise will remain in full force and effect and enforceable. The failure of either you or Spirit Nation to exercise any right provided for in these Terms in any way won’t be deemed a waiver of any other rights.

These Terms are personal to you. You can’t assign them, transfer them, or sublicense them unless you get Spirit Nation’s prior written consent. Spirit Nation has the right to assign, transfer, or delegate any of its rights and obligations under these Terms without your consent. Spirit Nation will provide you notice via email, written notice, or by conspicuously posting the notice on our Site.

By using this website (the “Site”) and services (together with the Site, the “Services”) offered by Spirit Nation, and its and their parents, subsidiaries, affiliates, agents, representatives, consultants, employees, officers, and directors—collectively, “Spirit Nation,” “we,” or “us”), you’re agreeing to these legally binding rules (the “Terms”). You’re also agreeing to our Privacy Policy and Cookie Policy, and agreeing to follow any other rules on the Site.

We may change these terms from time to time. If we do, we’ll let you know about any material changes, either by notifying you on the Site or by sending you an email.

Privacy, Cookie and Data Usage Policy acceptance. By accepting these Conditions, users acknowledge that they have read, understood and agreed to in full and without qualification the Privacy, Cookie and Data Use Policy.

Donation Warranty - Users who donate funds warrant that:

You are at least 18 years old
You have full capacity and authority to accept these Conditions
You have full power and authority to carry out the actions contemplated under the Contract.

Guarantees - No guarantee is given by the company or their officers or members that any Fundraiser will be successful in raising the necessary funds to provide a Feature Length Dramatic Film. The Producers will use best efforts to raise funds to develop the screenplay, source talent and production support and should it be required, they will produce a Low Budget Documentary in an effort to raise awareness for this story and to further help the development of a feature length dramatic movie.

Governing Law and Jurisdiction - The Contract shall be considered as a contract made by the courts of Law in Ontario Canada and according to the laws of Canada subject to the exclusive jurisdiction of the the Courts, to which jurisdiction the Parties hereby irrevocably submit.

There are no guarantees that Spirit Nation will always be available 24/7. Finally, to the fullest extent permitted by law, the Companies or any of their respective officers or members will not be liable for any delay by the Companies performing or failing to perform their obligations hereunder if the delay or failure results from any cause or circumstance whatsoever beyond their reasonable control, including any breach or non-performance of these Conditions.

Liability exclusions and limitations - No party (including, for the purposes of this Condition, their respective principal, officers, members or advisers) shall, notwithstanding any implied term of these Conditions, be liable to the other for the following Loss whether or not the other party has been advised of the possibility of such Loss: (i) any indirect or consequential loss; (ii) loss of revenue, business, profits, opportunity, interest or anticipated savings; (iii) increased costs of working; (iv) loss of goodwill and reputation; or (v) Claims by third parties (including without limitation by any Supporter).
